→ Scope of Service
a. Service Provider shall provide high-quality healthcare services to the Client, tailored to the specifications and needs communicated by the Client.
b. The Company will deliver the required healthcare services in the highest-level manner upon the execution of corresponding services and receipt of the payment.
→ Copyright and Ownership
a. The Client acknowledges that all rights, title, and ownership of the final healthcare service deliverables will belong solely to the Client after full payment.
b. Any derivative materials that use the original deliverables become the Client's property. Any preliminary materials, drafts, or concepts remain the property of the Service Provider unless otherwise agreed in writing.
c. The Service Provider reserves the right to showcase the completed healthcare service deliverables in their portfolio, case studies, or marketing materials, unless specifically prohibited by the Client in writing.
→ Confidentiality
a. The Service Provider will treat all information provided by the Client as confidential and will not disclose it to any third party without the Client's permission.
b. The Client agrees that the final healthcare service deliverables, once delivered, are no longer considered confidential.
→ Termination
a. If there is no communication from the Client for a period of 30 days, the project will be considered canceled and will be terminated by the Service Provider.
b. Either party may terminate this agreement if the other party fails to comply with these terms and conditions or breaches any other obligations outlined herein.
→ Limitation of Liability
a. The Client agrees to indemnify and hold harmless the Service Provider from any costs, losses, or damages arising from the use of the healthcare materials or services provided by the Provider.
